The Government's due to take over the country's rail and ferry business from midnight Monday.
The $665 million buyback was announced in May, and will see Toll Holdings' operations transferred back into Government ownership.
The Government's refusing to comment on the deal, as it's believed the final details are still being worked through before the midnight deadline.
As for who will run the operation, Finance Minister Michael Cullen's office is refusing to confirm speculations former Prime Minister Jim Bolger will be chairman.
Cullen will officially mark the hand over at a ceremony at the Wellington Railway Station on Tuesday.
The buyback will be the first time that the railways have been under Government control since 1993, when National privatised the operation.
